1. AGREEMENT TO TERMS

1.1 These Terms of Service ("Terms," "Agreement") constitute a legally binding agreement between you ("Customer," "you," "your," or "User") and the applicable AirJobs operating entity ("AirJobs," "we," "us," or "our") governing your access to and use of the AirJobs platform, website (www.airjobs.ai), and related services (collectively, the "Service" or "Platform").

1.2 By accessing, registering for, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference.

1.3 If you are entering into this Agreement on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms, and "you" and "your" shall refer to such entity.

1.4 If you do not agree to these Terms, you must not access or use the Service.

2. DEFINITIONS

For purposes of these Terms, the following definitions apply:

2.1 "Candidate" means any individual whose information is sourced, contacted, screened, or processed through the AirJobs Platform for potential employment or contractor engagement with the Customer, including:

  • Active job seekers who apply to positions
  • Passive candidates identified and contacted by AI agents
  • Individuals who participate in AI voice screening
  • Both employees and independent contractors

2.2 "Hire" means the successful engagement of a Candidate by the Customer, which occurs when:

  • A Candidate sourced and screened through AirJobs accepts the Customer's written offer of employment or contractor agreement, AND
  • The Candidate completes their first day of work or commences performance under a contract
  • For employees: First day of work as defined by the employment agreement
  • For contractors: Completion of first billable work or commencement of contract deliverables

2.3 "AI Agents" means the artificial intelligence software systems deployed by AirJobs to perform recruitment tasks, including:

  • AI Sourcing Agents: Text-based systems that search for and identify potential candidates
  • AI Outreach Agents: Text-based systems that send personalized messages via email, LinkedIn, and other platforms
  • AI Voice Agents: Voice-based systems that conduct preliminary phone screenings with candidates

2.4 "Success Fee" means the percentage-based fee charged by AirJobs only upon a successful Hire, calculated as a percentage of the Candidate's base annual compensation.

2.5 "Job Post" means a single job opening or position listing created by the Customer on the AirJobs Platform, including all job requirements, descriptions, and criteria specified by the Customer.

2.6 "Platform Fee" means the recurring monthly or annual subscription fee paid by Customers on subscription plans, or the one-time fee paid by Pay-As-You-Go customers per job post.

3. OPERATING ENTITIES AND JURISDICTION

3.1 United States Operations:

3.4 The applicable operating entity and governing law shall be determined by your location and billing address at the time of registration.

4. SERVICE DESCRIPTION

4.1 Overview:
AirJobs is an AI-powered recruitment platform that uses artificial intelligence agents to source, contact, screen, and qualify job candidates on behalf of customers.

4.2 Core Features:

  • AI Candidate Sourcing: Automated identification and outreach to potential candidates across multiple platforms (LinkedIn, GitHub, portfolios, forums, etc.)
  • Automated Outreach: AI agents send personalized messages via email, direct messages, and other communication channels to potential candidates
  • AI Voice Screening: Automated phone interviews (up to 20 minutes per candidate) conducted by AI voice agents to pre-qualify candidates
  • Candidate Dashboard: Centralized interface displaying pre-qualified candidates who meet job requirements with transcripts and top-fit scorecards
  • Filtering and Targeting: Geographic, skill-based, and demographic filtering capabilities including passive candidate sourcing
  • Reporting and Analytics: Performance metrics, weekly progress reports, and hiring pipeline visibility

4.3 Service Options:

Pay-As-You-Go (Single Job Post):

  • Price: $1,999 per job post
  • Job Posts: 1 job post per purchase
  • Success Fee: 3% per hire
  • Commitment: None - single job purchase
  • Timeline: Up to 60 days per job post
  • Guarantee: 1:1 Job-to-Hire guarantee with 100% refund if no hire within 60 days
  • Ideal For: Occasional hires, trial users, companies testing AI recruitment

Subscription Tiers (Monthly or Annual):

  • Starter: Up to 2 job posts/month, 5% success fee
  • Growth: Up to 10 job posts/month, 3% success fee
  • Scale: Up to 25 job posts/month, 2% success fee
  • Enterprise: Up to 40 job posts/month, 1% success fee

4.4 Add-On Services:

  • White-label career site solutions (starting at $4,999/month)
  • Custom AI training and optimization
  • ATS integrations (compatible with major platforms including Greenhouse, Lever, Workday, and others)
  • Additional services as may be offered from time to time

IMPORTANT: AirJobs is not responsible for the performance, availability, or functionality of third-party ATS platforms or systems integrated via API. Integration features are provided "as is" and may be subject to third-party terms and limitations.

4.5 Customer Support:
AirJobs will use commercially reasonable efforts to respond to customer support inquiries within 2 business days. Enterprise customers receive priority support with response times within 1 business day.

4.6 Service Modifications:
AirJobs reserves the right to modify, suspend, or discontinue any aspect of the Service at any time with reasonable notice to customers. Material changes affecting paid features will be communicated at least 30 days in advance.

5. ACCOUNT REGISTRATION AND ELIGIBILITY

5.1 Eligibility:
You must be at least 18 years old and have the legal capacity to enter into contracts to use the Service. By registering, you represent and warrant that you meet these requirements.

5.2 Account Registration:
To access the Service, you must:

  • Provide accurate, current, and complete registration information
  • Maintain and promptly update your account information
  • Maintain the security and confidentiality of your login credentials
  • Accept responsibility for all activities under your account

5.3 Account Types:

  • Pay-As-You-Go Accounts: For single job post purchases without ongoing subscription
  • Individual Accounts: For sole proprietors or individuals hiring on their own behalf
  • Company Accounts: For businesses, organizations, or agencies hiring on behalf of an entity
  • Enterprise Accounts: For large organizations with custom requirements

5.4 Prohibited Account Activities:
You may not:

  • Share account credentials with unauthorized persons
  • Create multiple accounts to circumvent service limitations
  • Use another person's account without permission
  • Sell, transfer, or assign your account to another party without written consent from AirJobs

5.5 Account Verification:
AirJobs reserves the right to verify your identity, business information, and payment details before activating your account or at any time thereafter.

6. ACCEPTABLE USE POLICY

6.1 Permitted Uses:
You may use the Service solely for lawful recruitment and hiring purposes consistent with these Terms.

6.2 Prohibited Uses:
You agree NOT to use the Service to:

6.2.1 Legal Violations:

  • Violate any local, state, national, or international law or regulation
  • Violate employment discrimination laws or post jobs with discriminatory requirements
  • Post jobs for illegal activities or positions
  • Engage in employment practices that violate labor laws

6.2.2 Fraudulent Activities:

  • Post fake or fraudulent job listings
  • Collect candidate information for purposes other than legitimate hiring
  • Misrepresent your company, position, or job details
  • Use the Service for lead generation, marketing, or sales activities unrelated to hiring

6.2.3 System Abuse:

  • Attempt to gain unauthorized access to the Platform or related systems
  • Interfere with or disrupt the Service or servers/networks connected to the Service
  • Use automated systems (bots, scrapers) to access the Service beyond the intended AI features
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Probe, scan, or test vulnerabilities of the Service

6.2.4 Harmful Content:

  • Post jobs containing false, misleading, or deceptive information
  • Include offensive, abusive, defamatory, or discriminatory content
  • Infringe upon intellectual property rights of others
  • Post jobs for pyramid schemes, multi-level marketing, or similar business models

6.2.5 Data Misuse:

  • Extract, scrape, or harvest candidate data for purposes beyond your hiring needs
  • Share, sell, or distribute candidate information to third parties without consent
  • Use candidate contact information for unsolicited marketing
  • Store candidate data in violation of applicable data protection laws

6.3 Monitoring and Enforcement:
AirJobs reserves the right to monitor use of the Service and investigate suspected violations of these Terms. We may take appropriate action, including account suspension or termination, without prior notice.

7. JOB POSTING REQUIREMENTS

7.1 Job Posting Accuracy:
You represent and warrant that all job postings contain:

  • Accurate job titles and descriptions
  • Truthful information about compensation and benefits
  • Correct location and work arrangement details (remote, hybrid, on-site)
  • Honest representation of required qualifications
  • Valid contact information

7.2 Prohibited Job Content:
Job postings must NOT:

  • Discriminate based on race, color, religion, sex, sexual orientation, gender identity, national origin, age, disability, veteran status, or other protected characteristics
  • Require illegal activities or unethical conduct
  • Misrepresent the nature of the work or company
  • Contain affiliate links, referral codes, or marketing content
  • Advertise positions that don't actually exist
  • Request personal financial information, social security numbers, or payment from candidates

7.3 Job Post Limits:

  • Pay-As-You-Go: 1 job post per purchase
  • Subscription Plans: Job posting limits are defined by your subscription tier

Exceeding limits on subscription plans may result in additional charges or suspension of additional posts until the next billing cycle.

7.4 Job Post Duration and Reposting:

  • Job posts remain active until filled, closed by customer, or 90 days from posting date, whichever comes first
  • For Pay-As-You-Go customers, the guarantee period is 60 days as specified in the 60-Day Hire Guarantee Terms

Reposting Policy:

  • Same Position Refill: If you need to fill the same position again after a hire, you must purchase a new job post (Pay-As-You-Go) or use an available post slot (Subscription)
  • Renewal: Unfilled posts that expire after 90 days may be renewed subject to available post slots or purchase of new Pay-As-You-Go post
  • Modifications: Material changes to an active job post (e.g., different title, location, or requirements) constitute a new position and require a new post

8. AI AGENTS AND AUTOMATED PROCESSES

8.1 AI Agent Functionality:
AirJobs uses artificial intelligence agents to perform various recruitment tasks on your behalf. To clarify how AI is used in the recruitment process:

🤖 AI Text-Based Outreach:

  • Searches for potential candidates across platforms (LinkedIn, GitHub, portfolios, forums, etc.)
  • Sends personalized text messages via email, DMs, and other channels
  • Tracks responses and engagement

📞 AI Voice Screening:

  • Conducts preliminary phone interviews with interested candidates (up to 20 minutes per candidate)
  • Records calls and generates full transcripts
  • Creates top-fit scorecards based on your criteria
  • Candidates are informed they are speaking with an AI agent at the beginning of each call

👤 Human Review (Always Final):

  • You review all AI-screened candidates in your dashboard
  • You make all final hiring decisions
  • You can override any AI recommendation
  • No candidate is hired without your explicit approval

8.2 Message Content and Personalization:

  • AI agents send messages on your behalf using your company name and job details
  • Messages are automatically generated and personalized based on candidate profiles
  • You may review and approve message templates before campaigns begin
  • You retain responsibility for message content compliance with applicable laws

8.3 AI Voice Screening Details:

  • AI Voice Agents conduct preliminary phone interviews with interested candidates
  • Screening calls last up to 20 minutes per candidate
  • All calls are recorded and full transcripts are made available in your dashboard
  • Screening criteria are based on your specified job requirements
  • Candidates are clearly informed they are speaking with an AI agent at the beginning of calls
  • Top-fit scorecards are generated based on screening results

8.4 Accuracy and Limitations:

  • AI agents use commercially reasonable efforts to identify qualified candidates
  • AirJobs does not guarantee 100% accuracy in candidate matching or screening
  • AI decisions are based on available data and may not capture all relevant factors
  • You retain final decision-making authority on all hiring decisions

8.5 Human Oversight and Control:
You acknowledge that:

  • AI agents operate autonomously based on your instructions
  • You have the ability to review, override, or modify AI decisions at any time
  • Final hiring decisions are always made by humans (you), never by AI
  • You remain responsible for compliance with all employment laws
  • You can request human review of any AI screening decision

9. PAYMENT TERMS

9.1 Pricing Structure:
AirJobs charges fees based on your selected service option:

Pay-As-You-Go:

  • Job Post Fee: $1,999 per job post (one-time payment)
  • Success Fee: 3% of hired candidate's base annual salary

Subscription Plans:

  • Platform Fees: Monthly or annual subscription fees based on your selected tier
  • Success Fees: Percentage-based fees charged only when you successfully hire a candidate sourced through AirJobs

9.2 Pay-As-You-Go Pricing:

Single Job Post:

  • Price: $1,999 per job post
  • Payment: Due at time of job posting
  • Success Fee: 3% of base annual salary upon hire
  • Refund Policy: 100% refund of job post fee if no hire within 60 days (subject to 60-Day Hire Guarantee Terms)

9.3 Subscription Platform Fees:

Monthly Plans:

  • Starter: $1,499/month
  • Growth: $6,499/month
  • Scale: $12,499/month
  • Enterprise: $19,999/month

Annual Plans (30% discount):

  • Starter: $12,590/year
  • Growth: $54,990/year
  • Scale: $104,990/year
  • Enterprise: $167,990/year

9.4 Subscription Success Fees:
Success fees for subscription plans are calculated as a percentage of the hired candidate's base annual salary:

  • Starter: 5%
  • Growth: 3%
  • Scale: 2%
  • Enterprise: 1%

9.5 Success Fee Triggers:
A success fee becomes due when:

  • A candidate sourced and screened by AirJobs AI agents
  • Accepts your written offer of employment
  • And completes their first day of work

9.6 Success Fee Calculation:

  • Based on base annual salary only (excluding bonuses, equity, commissions, benefits)
  • For hourly employees: Annual equivalent = hourly rate × 2,080 hours
  • For contract positions: Total contract value for contracts under 1 year, or annualized rate for longer contracts

9.7 Payment Terms:

  • Pay-As-You-Go: Job post fee due immediately upon posting; success fee invoiced within 5 business days after hire confirmation
  • Subscription Plans: Platform fees billed monthly in advance or annually in advance; success fees invoiced within 5 business days after hire confirmation
  • Payment is due within 14 days of invoice date
  • Accepted payment methods: credit card, debit card, bank transfer, direct debit

9.8 Late Payments:

  • Late payments may incur interest at 1.5% per month or the maximum rate permitted by law, whichever is less
  • Accounts with payments overdue by 30+ days may be suspended
  • AirJobs reserves the right to engage collection agencies for severely delinquent accounts

9.9 Taxes:
All fees are exclusive of applicable taxes, duties, or similar governmental assessments (including VAT, sales tax, GST). You are responsible for paying all such taxes except those based on AirJobs' net income.

9.10 Refunds:

Pay-As-You-Go:

  • Job post fee: 100% refundable if no hire is made within 60 days (subject to 60-Day Hire Guarantee Terms)
  • Success fees: Non-refundable once a candidate starts work
  • If a hired candidate leaves or is terminated within 90 days, you may purchase one additional job post at 50% discount for a replacement search

Subscription Plans:

  • Platform fees are non-refundable except as specifically provided in the 60-Day Hire Guarantee
  • Success fees are non-refundable once a candidate starts work
  • If a hired candidate leaves or is terminated within 90 days, you may request a one-time replacement candidate search at no additional platform fee (success fee still applies to any new hire)

9.11 Price Changes:
AirJobs reserves the right to change pricing with 60 days' notice. Price changes do not affect:

  • Existing Pay-As-You-Go job posts already purchased
  • Existing annual plan customers until renewal
  • Monthly plan customers will be notified and changes take effect at the next billing cycle

9.12 Currency:
All prices are displayed in USD ($). International customers may see prices converted to local currency at checkout, subject to current exchange rates.

10. SUBSCRIPTION TERMS AND CANCELLATION

10.1 Service Options:

Pay-As-You-Go:

  • No subscription or ongoing commitment
  • Each job post is a separate one-time purchase
  • No cancellation necessary as there is no recurring billing
  • 60-Day Hire Guarantee applies to each job post independently

Monthly Subscription Plans:

  • Month-to-month commitment with 30-day cancellation notice required

Annual Subscription Plans:

  • 12-month commitment required

10.2 Automatic Renewal (Subscription Plans Only):

  • Subscriptions automatically renew at the end of each billing period unless cancelled
  • You will be charged the then-current rate unless you have a locked-in annual rate
  • You will receive notice at least 30 days before renewal

10.3 Cancellation (Subscription Plans Only):

  • Monthly plans: Provide 30 days' written notice to hello@airjobs.ai
  • Annual plans: May cancel at end of 12-month term with 30 days' notice; early cancellation results in forfeiture of remaining subscription period without refund
  • Cancellation does not waive outstanding success fees for hires made during your subscription

10.4 Downgrades (Subscription Plans Only):

  • Take effect at the next billing cycle
  • Features/limits adjust to new tier immediately after billing
  • No partial refunds for downgrades
  • Cannot downgrade to Pay-As-You-Go; must cancel subscription and purchase job posts separately

10.5 Upgrades:

  • From Pay-As-You-Go to Subscription: Credit of unused job post value may be applied to first month's subscription fee at AirJobs' discretion
  • Between Subscription Tiers: Take effect immediately with prorated charges for remainder of current billing period

10.6 Suspension:

  • AirJobs may suspend your account for non-payment, Terms violations, or suspected fraud
  • You remain liable for all fees during suspension period
  • Suspended accounts may be terminated after 60 days

11. CANDIDATE DATA AND PRIVACY

11.1 Data Controller Responsibilities:
You acknowledge that you are the data controller for candidate personal data collected through your use of the Service. You are responsible for:

  • Complying with all applicable data protection laws (GDPR, CCPA, etc.)
  • Providing appropriate privacy notices to candidates
  • Obtaining necessary consents for data processing
  • Responding to candidate data subject rights requests
  • Maintaining data security

11.2 AirJobs as Data Processor:
AirJobs acts as a data processor when handling candidate data on your behalf. We will:

  • Process data only according to your instructions
  • Implement appropriate technical and organizational security measures
  • Assist with data subject rights requests as reasonably required
  • Delete or return data upon termination as requested

11.3 Candidate Consent and Transparency:
You represent and warrant that:

  • Candidates have been informed their data will be processed by AI systems
  • You have obtained all necessary consents for AI-based screening and communication
  • You have provided appropriate privacy notices that include:
    • That AI agents will conduct initial screening
    • That phone screenings may be recorded
    • That candidates can request human review of AI decisions
    • How candidate data will be used and stored
  • You comply with all applicable recruitment and employment data regulations

11.4 Candidate Rights Under GDPR (EU/UK Customers):
For customers operating in the EU or UK, candidates have the following rights regarding automated decision-making:

  • Right to Human Review (Article 22): Candidates have the right to request human review of any AI screening decision. You must provide a mechanism for candidates to contest AI-based rejections and request human reconsideration.
  • Right to Explanation: Candidates can request an explanation of how AI screening decisions were made.
  • Right to Object: Candidates may object to automated processing of their data.

AirJobs will assist you in facilitating these rights. All AI screening transcripts and scorecards are preserved for review purposes.

11.5 Candidate-Facing Disclosures:
AirJobs provides a Candidate Privacy Notice that explains:

  • How candidate data is collected and processed
  • The role of AI in screening
  • Candidate rights regarding automated decisions
  • How to exercise data subject rights

You must either:

  • Link to this notice in your job postings, OR
  • Provide your own candidate privacy notice that covers AI processing

11.6 Data Retention:

  • Pay-As-You-Go: Candidate data is retained for 90 days after job post closes or hire is made
  • Subscription Plans: Candidate data is retained for the duration of your subscription plus 90 days
  • You may request earlier deletion of specific candidate records
  • AirJobs may retain anonymized, aggregated data for service improvement

11.7 Data Security:
AirJobs implements industry-standard security measures including:

  • Encryption in transit and at rest
  • Access controls and authentication
  • Regular security audits and monitoring
  • Incident response procedures

For Enterprise customers, additional security documentation (including SOC 2 Type II compliance status) is available upon request.

11.8 Data Breach Notification:
In the event of a data breach affecting candidate information, AirJobs will notify you within 72 hours of becoming aware of the breach, and will cooperate with you in any required notifications to candidates or regulators.

11.9 International Data Transfers:
Candidate data may be processed in the United States, United Kingdom, European Union, or other locations where AirJobs or its service providers maintain facilities. Appropriate safeguards (including Standard Contractual Clauses for EU data) are in place for international transfers.

12. INTELLECTUAL PROPERTY RIGHTS

12.1 AirJobs Ownership:
AirJobs retains all rights, title, and interest in and to:

  • The AirJobs Platform, software, and technology
  • AI algorithms, models, and training data
  • Trademarks, logos, and brand elements
  • Documentation, guides, and support materials
  • Aggregated, anonymized usage data and insights

12.2 Customer Content:
You retain ownership of:

  • Your company information and branding
  • Job descriptions and requirements you provide
  • Custom screening questions and criteria
  • Any content you upload to the Platform

12.3 License to AirJobs:
You grant AirJobs a worldwide, non-exclusive, royalty-free license to use your content to provide the Service, including:

  • Displaying your job postings to potential candidates
  • Using your company name and information in candidate outreach
  • Processing your data to improve AI agent performance
  • Creating aggregated, anonymized analytics

12.4 Restrictions:
You may not:

  • Copy, modify, or create derivative works of the Platform
  • Reverse engineer or attempt to extract source code
  • Remove or alter any copyright, trademark, or proprietary notices
  • Use AirJobs branding without written permission
  • Claim ownership of AirJobs intellectual property

12.5 Feedback:
Any suggestions, ideas, or feedback you provide about the Service becomes the property of AirJobs, and we may use it without obligation or compensation to you.

13. CONFIDENTIALITY

13.1 Confidential Information:
Both parties may have access to confidential information of the other, including:

  • Business strategies and plans
  • Financial information
  • Technical data and processes
  • Customer and candidate information
  • Proprietary methodologies

13.2 Protection Obligations:
Both parties agree to:

  • Maintain confidentiality of the other party's information
  • Use confidential information only for purposes of this Agreement
  • Limit disclosure to employees and contractors with a need to know
  • Protect information with the same care used for own confidential information

13.3 Exceptions:
Confidentiality obligations do not apply to information that:

  • Was publicly available or becomes publicly available through no fault of receiving party
  • Was rightfully known to receiving party before disclosure
  • Is independently developed without use of confidential information
  • Is required to be disclosed by law or court order (with prompt notice to disclosing party)

13.4 Duration:
Confidentiality obligations survive termination of this Agreement for a period of 3 years.

14. REPRESENTATIONS AND WARRANTIES

14.1 Mutual Warranties:
Each party represents and warrants that:

  • It has the legal right and authority to enter into this Agreement
  • Performance under this Agreement will not violate any other agreement
  • It will comply with all applicable laws and regulations

14.2 Customer Warranties:
You represent and warrant that:

  • All information provided to AirJobs is accurate and complete
  • You have the right to hire for the positions you post
  • Your use of the Service complies with all employment and labor laws
  • You will not use the Service for any unlawful purpose
  • You have obtained necessary consents for data processing

14.3 AirJobs Warranties:
AirJobs warrants that:

  • The Service will perform substantially as described in documentation
  • We will use commercially reasonable efforts to maintain service availability
  • We have implemented reasonable security measures

14.4 Warranty Disclaimers:
EXCEPT AS EXPRESSLY PROVIDED IN THESE TERMS:

  • THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE"
  • AIRJOBS MAKES NO WARRANTIES, EXPRESS OR IMPLIED
  • AIRJOBS DISCLAIMS ALL IMPLIED WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR PARTICULAR PURPOSE, AND NON-INFRINGEMENT
  • AIRJOBS DOES NOT WARRANT UNINTERRUPTED, ERROR-FREE, OR SECURE SERVICE
  • AIRJOBS DOES NOT GUARANTEE HIRING OUTCOMES OR CANDIDATE QUALITY EXCEPT AS SPECIFIED IN THE 60-DAY HIRE GUARANTEE

15. LIMITATION OF LIABILITY

15.1 Consequential Damages:
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY SHALL BE LIABLE FOR:

  • INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
  • LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES
  • COST OF SUBSTITUTE SERVICES
  • DAMAGES ARISING FROM USE OR INABILITY TO USE THE SERVICE

15.2 Maximum Liability:
AIRJOBS' TOTAL CUMULATIVE LIABILITY ARISING FROM OR RELATED TO THIS AGREEMENT SHALL NOT EXCEED THE GREATER OF:

  • (A) TOTAL FEES PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM, OR
  • (B) FOR PAY-AS-YOU-GO CUSTOMERS: THE AMOUNT PAID FOR THE SPECIFIC JOB POST IN QUESTION, OR
  • (C) $1,000 USD

15.3 Exceptions:
Liability limitations do not apply to:

  • Gross negligence or willful misconduct
  • Death or personal injury caused by negligence
  • Fraud or fraudulent misrepresentation
  • Violations of applicable law where limitations are prohibited
  • Your indemnification obligations under Section 16

15.4 Essential Purpose:
The parties acknowledge that these limitations are fundamental elements of the agreement and AirJobs would not provide the Service without these limitations.

16. INDEMNITY AND LIABILITY SHARING

16.1 Customer Indemnification:
You agree to indemnify, defend, and hold harmless AirJobs and its officers, directors, employees, contractors, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to:

  • Your use or misuse of the Service
  • Your violation of these Terms
  • Your violation of any law or regulation
  • Your job postings or recruitment practices
  • Your violation of any third-party rights, including employment or privacy rights
  • Disputes between you and candidates
  • Your breach of data protection obligations

16.2 AirJobs Indemnification:
AirJobs agrees to indemnify, defend, and hold you harmless from claims that the Service infringes third-party intellectual property rights, provided you:

  • Promptly notify AirJobs of the claim
  • Grant AirJobs sole control of defense and settlement
  • Provide reasonable assistance at AirJobs' expense

16.3 Indemnification Process:
The indemnified party must:

  • Provide prompt written notice of any claim
  • Cooperate in the defense
  • Allow the indemnifying party to control defense and settlement

16.4 Settlement:
The indemnifying party may not settle any claim without the indemnified party's consent if settlement requires admission of liability or imposes obligations on the indemnified party.

17. TERM AND TERMINATION

17.1 Term:
This Agreement begins when you first access the Service and continues until terminated according to these Terms.

17.2 Termination by Customer:

Pay-As-You-Go:

  • No termination necessary as there is no ongoing commitment
  • Access to job post data continues for 90 days after job closes

Subscription Plans:

  • Follow the cancellation process in Section 10
  • Provide written notice to hello@airjobs.ai
  • Cease all use of the Service

17.3 Termination by AirJobs:
AirJobs may terminate your account immediately if:

  • You breach these Terms
  • Your account is inactive for 6+ months (subscription accounts only)
  • You engage in fraudulent or illegal activity
  • You fail to pay amounts due for 60+ days
  • Providing the Service becomes unlawful
  • We discontinue the Service (with 90 days' notice)

17.4 Effect of Termination:
Upon termination:

  • Your access to the Service will cease
  • You remain liable for all outstanding fees
  • Success fees for pending hires remain due
  • You must cease using all AirJobs intellectual property
  • Sections 9 (Payment), 11 (Data), 12 (IP), 13 (Confidentiality), 14-16 (Warranties, Liability, Indemnity), and 19 (General) survive termination

17.5 Data Retrieval:

  • You have 30 days after termination to export your data
  • After 30 days, AirJobs may permanently delete your data
  • Deleted data cannot be recovered

17.6 No Refunds:
Termination does not entitle you to refunds except as provided in the 60-Day Hire Guarantee.

18. DISPUTE RESOLUTION

18.1 Informal Resolution:
Before initiating formal proceedings, parties agree to attempt good faith negotiation for 30 days by contacting hello@airjobs.ai.

18.2 Governing Law:
This Agreement is governed by:

  • United States customers: Laws of the State of Wyoming, without regard to conflict of law principles
  • United Kingdom customers: Laws of England and Wales
  • European Union customers: Spanish law and applicable EU regulations

18.3 Jurisdiction and Venue:

  • United States customers: Exclusive jurisdiction in state and federal courts located in Natrona County, Wyoming
  • United Kingdom customers: Exclusive jurisdiction in courts of England and Wales
  • European Union customers: Exclusive jurisdiction in courts of Madrid, Spain

18.4 Arbitration (US Customers Only):
For US customers, disputes not resolved informally will be resolved through binding arbitration under the American Arbitration Association's Commercial Arbitration Rules. Arbitration will be conducted in Wyoming. Each party bears its own costs except arbitrator fees, which will be split equally.

18.5 Class Action Waiver:
You agree to resolve disputes individually and waive any right to participate in class actions, consolidated proceedings, or representative actions.

18.6 Exceptions:
Either party may seek injunctive relief in court for:

  • Intellectual property infringement
  • Unauthorized access to systems
  • Breach of confidentiality
  • Other equitable relief

18.7 Limitation Period:
Any claim must be brought within one (1) year after the cause of action arises, or be permanently barred.

19. GENERAL PROVISIONS

19.1 Entire Agreement:
These Terms, together with the Privacy Policy and 60-Day Hire Guarantee Terms, constitute the entire agreement between you and AirJobs regarding the Service, superseding all prior agreements and understandings.

19.2 Amendments:
AirJobs may modify these Terms at any time by:

  • Posting updated Terms on the website
  • Providing email notice to registered users
  • Continuing to use the Service after changes constitutes acceptance
  • Material changes take effect 30 days after notice

19.3 Waiver:
Failure to enforce any provision does not waive AirJobs' right to enforce it later. Waivers must be in writing to be effective.

19.4 Severability:
If any provision is found unenforceable, the remaining provisions remain in full effect, and the unenforceable provision will be modified to reflect the parties' intent.

19.5 Assignment:
You may not assign or transfer this Agreement without written consent. AirJobs may assign this Agreement to any successor or affiliate without consent.

19.6 Third-Party Beneficiaries:
This Agreement does not create any third-party beneficiary rights except for AirJobs affiliates and personnel covered by liability limitations and indemnification.

19.7 Force Majeure:
Neither party is liable for delays or failures due to causes beyond reasonable control, including natural disasters, war, terrorism, pandemics, government actions, or infrastructure failures.

19.8 Notices:
All notices must be in writing and sent to:

  • To AirJobs: hello@airjobs.ai or to the applicable operating entity address in Section 3
  • To Customer: The email address associated with your account

Notices are deemed received when sent to the email address on file.

19.9 Relationship:
The parties are independent contractors. This Agreement does not create a partnership, joint venture, agency, or employment relationship.

19.10 Export Compliance:
You may not use the Service in violation of export controls or sanctions regulations. You represent that you are not located in, or a national of, any country subject to US, UK, or EU embargoes.

19.11 Government Users:
If you are a US government entity, the Service is "Commercial Computer Software" and "Commercial Computer Software Documentation" as those terms are used in 48 C.F.R. §12.212 or 48 C.F.R. §227.7202, with only the rights granted to end users in these Terms.

19.12 Language:
These Terms are drafted in English. Any translations are provided for convenience only. In case of conflict, the English version prevails.

19.13 Counterparts:
This Agreement may be executed in counterparts, including electronic signatures, each of which constitutes an original.
